Terms of Service

1. Acceptance of Terms

By accessing or using NotuDocs (available at https://notudocs.com), including any associated features, content, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and NotuDocs ("we," "us," or "our"). We may update these Terms from time to time as described in Section 11 below.

2. Description of Service

NotuDocs is an AI-powered documentation platform designed for professionals, including but not limited to therapists, physicians, attorneys, social workers, and educators. The Service allows you to:

Create and manage document templates with customizable placeholders.
Capture session notes through text input, voice recording, and file uploads.
Process notes through artificial intelligence to generate structured documents.
Export completed documents for your professional use.

The Service is provided as a software-as-a-service (SaaS) product. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account through our authentication provider (Clerk). You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@notudocs.com if you become aware of any unauthorized use of your account.

3.3 Account Eligibility

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

Use the Service in any manner that violates applicable local, state, national, or international laws or regulations.
Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
Use automated scripts, bots, or other means to access the Service for any purpose without our express written permission.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
Resell, sublicense, or redistribute the Service or any portion thereof without our prior written consent.
Use the Service to store or transmit any malicious code, viruses, or harmful data.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including without limitation removing content, suspending or terminating the offending User's account, and reporting such User to law enforcement authorities.

5. Intellectual Property

5.1 Your Content

You retain full ownership of all content you create, upload, or input into the Service, including but not limited to notes, templates, and exported documents ("User Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit your User Content solely for the purpose of providing and improving the Service.

We do not claim any ownership rights in your User Content. Upon termination of your account, we will make commercially reasonable efforts to allow you to export your User Content before deletion.

5.2 Our Platform

The Service, including its software, design, text, graphics, logos, trademarks, and all other intellectual property embodied in the platform, is and shall remain the exclusive property of NotuDocs. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

5.3 Feedback

If you provide us with suggestions, ideas, or other feedback regarding the Service ("Feedback"), you acknowledge that such Feedback is non-confidential and you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

6. Artificial Intelligence Disclaimer

6.1 Nature of AI-Generated Output

The Service uses artificial intelligence to process your notes and generate structured documents. AI-generated output is produced algorithmically based on the input you provide and the models we use. AI output may contain errors, omissions, or inaccuracies.

6.2 Not Professional Advice

The Service and its AI-generated output do not constitute medical, clinical, legal, therapeutic, educational, or any other form of professional advice. The Service is a documentation tool only. It does not diagnose, treat, recommend, or evaluate any professional matter.

6.3 User Responsibility

You are solely responsible for reviewing, verifying, and approving all AI-generated content before using it in any professional capacity. You acknowledge that:

AI-generated documents may require editing, correction, or supplementation.
You must exercise your own independent professional judgment when relying on any output from the Service.
NotuDocs is not liable for any consequences arising from your use of AI-generated content without adequate review.

6.4 No Guarantee of Accuracy

We do not warrant or guarantee the accuracy, completeness, reliability, or suitability of any AI-generated output for any particular purpose. The Service is not a substitute for professional judgment, training, or expertise.

7. Payment and Billing

7.1 Free Tier

The Service offers a free tier that includes up to 3 sessions, 3 templates, and 3 document exports. The free tier is provided at our discretion and may be modified or discontinued at any time.

7.2 Pro Plan

The Pro plan is available at $19.00 per month per seat. Each Pro seat includes up to 1,500 document exports per billing cycle. Pro plan features, limits, and pricing are subject to change with reasonable prior notice.

7.3 Overage Charges

If you exceed the 1,500-export limit included with your Pro seat during a billing cycle, you will be charged an overage fee of $0.01 per additional export. Overage charges are calculated and billed at the end of each billing cycle.

7.4 Billing and Payment

All fees are billed in advance on a monthly recurring basis unless otherwise stated. Payments are processed through our third-party payment provider. You agree to provide valid and current payment information and authorize us to charge the applicable fees to your chosen payment method.

7.5 Refunds

All fees are non-refundable except where required by applicable law. If you cancel your Pro plan, you will retain access to Pro features until the end of your current billing cycle.

7.6 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any taxes, duties, or other governmental assessments associated with your use of the Service.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting us or using the account settings within the Service. Upon termination, your right to use the Service will cease immediately, subject to Section 7.5 regarding active billing cycles.

8.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause, and with or without notice, including but not limited to situations where we reasonably believe you have violated these Terms. In the case of termination for cause, no refund will be provided.

8.3 Effect of Termination

Upon termination, your license to use the Service is revoked. We may delete your User Content after a reasonable retention period following termination. We are not obligated to retain or provide access to your User Content after your account has been terminated, except as required by law.

8.4 Survival

Sections 5 (Intellectual Property), 6 (AI Disclaimer), 9 (Limitation of Liability), and 10 (Governing Law) shall survive any termination or expiration of these Terms.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOTUDOCS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

9.4 Essential Basis

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND NOTUDOCS AND THAT, IN THE ABSENCE OF SUCH LIMITATIONS, THE TERMS AND CONDITIONS OF THESE TERMS WOULD BE SUBSTANTIALLY DIFFERENT.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law principles.

10.2 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.

10.3 Data Storage

Your data is stored and processed in the United States. By using the Service, you consent to the transfer and processing of your data in the United States.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Effective Date" at the top of this page. We may also provide additional notice through email or in-app notifications at our discretion.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.
